1. Introduction

These Terms & Conditions (“Terms”) govern all purchases of instrumentals (“Beats”) made through our website.
By purchasing or downloading any Beat from our store, you (“Buyer,” “You”) agree to be bound by these Terms.
If you do not agree, please do not use this website or purchase any Beats.


2. Licensing Overview

When you purchase a Beat, you are not buying full ownership of the music.
You are purchasing a license to use the Beat under the specific terms outlined at the time of purchase. The Song created with the purchased Beat is a new musical composition. Halric (producer) retains the ownership of the underlying musical composition of the beat itself.

We offer the following license types:

  1. Basic License (Non-exclusive) – Typically includes:

    • MP3 or WAV file.

    • Limited distribution rights (up to 10,000 streams/sales).

    • Non-exclusive: The Beat can be licensed to other buyers.

    • No music video usage

    • No radio broadcast

  2. Premium License (Non-exclusive) – Typically includes:

    • MP3 + WAV file.

    • Higher distribution limits (up to 25,000 streams/sales).

    • Non-exclusive: The Beat can be licensed to other buyers.

    • No music video usage

    • No radio broadcast

  3. Unlimited License (Non-exclusive) – Typically includes:

    • MP3 + WAV + Track Stems.

    • Unlimited distribution rights.

    • Non-exclusive: The Beat can be licensed to other buyers.

    • Music video usage

    • Radio broadcast

    • Songwriting & Publishing Royalty (includes: Performance Royalties, Mechanical Royalties & Synchronization Royalties) split 50/50.

      • 50% to you (“Buyer”).

      • 50% to Halric (+ other producers if applicable).

    • Master Royalties (negotiable).

      • 75-100% to you (“Buyer”).

      • 0-25% to Halric (+ other producers if applicable).

  4. Exclusive License – Typically includes:

    • MP3 + WAV + Track Stems.

    • Unlimited distribution rights.

    • Exclusive: The Beat will be removed from the store and no longer sold to others.

    • Music video usage

    • Radio broadcast

    • Songwriting & Publishing Royalty (includes: Performance Royalties, Mechanical Royalties & Synchronization Royalties) split (negotiable).

      • Split percentage for both parties is finalized upon negotiation.

    • Master Royalties (negotiable).

      • 75-100% to you (“Buyer”).

      • 0-25% to Halric (+ other producers if applicable).

Important: The exact license terms (usage limits, formats provided, etc.) will be clearly stated on each product page. By purchasing, you agree to those specific terms.


3. Buy Out (Full Rights Purchase)

  • A Buy Out license transfers all rights, including copyright ownership, to the Buyer at a one-time flat fee.

  • Once a Buy Out is completed:

    • The Beat will be permanently removed from our store.

    • We will no longer license or sell the Beat to anyone else.

    • The Buyer may register the Beat with music rights organizations, streaming platforms, and Content ID systems under their own name.

    • The Buyer will have full creative and commercial control with no further royalty obligations to Halric.

  • The Buy Out fee varies per Beat and will be quoted upon request.

  • All Buy Out transfers will be confirmed in writing via a signed agreement, and the Buyer will receive all related files (MP3, WAV, Track Stems, Project Files if available).

4. Permitted Uses

Under the applicable license, you may:

  • Record vocals or instruments over the Beat to create a new song.

  • Release the new song on streaming platforms, social media, and music stores.

  • Perform the new song live.

  • Use the new song in promotional content, subject to license restrictions.

5. Prohibited Uses

You may not:

  • Resell, redistribute, or re-license the Beat “as is” (without adding vocals or significant creative input).

  • Claim ownership of the Beat’s instrumental composition.

  • Use the Beat in TV, film, advertisements, video games, or other commercial sync projects without separate written permission.

  • Register the Beat or any derivative work with Content ID systems (e.g., YouTube Content ID) in a way that blocks others’ lawful use.

  • Use the Beat in any unlawful, defamatory, or hate-promoting content.

6. Payment & Delivery

  • All prices are listed in [USD or your chosen currency] and are subject to change without notice.

  • Payments are processed securely via [PayPal, Stripe, or other gateway].

  • Upon successful payment, download links will be provided instantly or via email.

7. Refund Policy

  • All sales are final due to the digital nature of the products.

  • No refunds, exchanges, or cancellations will be issued once files have been delivered.

8. Intellectual Property

  • All Beats remain the property of Halric BPM unless sold as a “Buy Out“.

  • Licensing grants you usage rights as outlined but does not transfer copyright ownership.

9. International Sales

We sell Beats globally. It is the Buyer’s responsibility to comply with local laws, taxes, and import restrictions related to digital products in their country.


10. Termination of License

If you breach these Terms, your license may be revoked without refund, and legal action may be taken.


11. Changes to Terms

We may update these Terms at any time without prior notice. The most recent version will always be posted on our website.
